Ionity End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("End User", "You") and Ionity (Pty) Ltd ("Ionity", "Licensor", "We", "Us") governing your use of all Ionity software, firmware, hardware interfaces, digital services, APIs, and associated documentation (collectively, the "Product"). By installing, copying, accessing, or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree, do not use the Product.

Section 1

Grant of License

Ionity grants you a limited, non-exclusive, non-transferable, revocable license to use the Product solely for your internal business or personal purposes, subject to these terms.

  • This license does not constitute a sale or transfer of ownership of any Product or intellectual property
  • You may use the Product only on devices and systems authorized by Ionity
  • The license is valid only for the subscription tier, duration, and scope agreed upon at the time of purchase or registration
  • Use is governed by Policy AED 986 and License AED 900, which supersede any conflicting provisions
Section 2

Restrictions

You shall not, without prior written consent from Ionity:

  • Copy, modify, adapt, translate, reverse-engineer, decompile, or disassemble any part of the Product
  • Distribute, sublicense, lease, rent, loan, or otherwise transfer the Product to any third party
  • Remove, alter, or obscure any proprietary notices, labels, AED-Stamps, or watermarks
  • Use the Product to develop competing products or services
  • Attempt to gain unauthorized access to any Product systems, servers, or connected infrastructure
  • Use the Product in any manner that violates applicable local, national, or international law
  • Extract, scrape, or mine data from the Product except as explicitly permitted
Section 3

Intellectual Property

All intellectual property rights in the Product � including but not limited to software, firmware, hardware schematics, algorithms, designs, documentation, and trade secrets � are and shall remain the exclusive property of Ionity (Pty) Ltd.

  • Protected under Policy AED 986 (Absolute Asset Sovereignty)
  • All hardware components (SBC, MCU, sensors) remain the property of Ionity
  • AED-Stamp verification is embedded in all digital assets for tamper-proof tracking
  • No rights are granted by implication, estoppel, or otherwise except as expressly set forth herein
Section 4

Data Collection & Privacy

The Product may collect operational data, telemetry, diagnostics, and usage information to maintain service quality, security, and compliance.

  • Data collection is governed by our Privacy Policy
  • We do not sell personal data to third parties
  • Metadata tracing is active under Policy AED 986 for asset protection purposes
  • You consent to the collection of anonymized usage data for service improvement

Warranty Disclaimer

The Product is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

  • Ionity does not warrant that the Product will be uninterrupted, error-free, or free from harmful components
  • No warranty of merchantability, fitness for a particular purpose, or non-infringement
  • Any reliance on the Product is at your own risk
  • Ionity may update, modify, or discontinue the Product at any time without notice
Section 6

Limitation of Liability

To the maximum extent permitted by the laws of the Republic of South Africa:

  • Ionity shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Total liability shall not exceed the amounts paid by you for the Product in the twelve (12) months preceding the claim
  • Ionity is not liable for damages resulting from unauthorized modifications, misuse, or third-party interference
  • This limitation applies regardless of the legal theory upon which the claim is based
Section 7

Termination

This EULA is effective until terminated. Ionity may terminate this agreement immediately and without notice if you breach any provision.

  • Upon termination, you must cease all use of the Product and destroy all copies in your possession
  • Ionity reserves the Right of Removal � the authority to remotely deactivate, purge, or reclaim Product assets
  • Auto-deactivation is triggered upon detection of tampering, unauthorized editing, or policy violations
  • Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination
Section 8

Indemnification

You agree to indemnify, defend, and hold harmless Ionity (Pty) Ltd, its founder Johan Wilhelm van Antwerp, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Product
  • Your violation of this EULA or any applicable law
  • Any unauthorized access, modification, or distribution of the Product by you or through your account
Section 9

Governing Law & Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the Republic of South Africa.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts of Pretoria, Gauteng, South Africa
  • Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation within thirty (30) days
  • If negotiation fails, disputes may be referred to mediation before litigation
Section 10

General Provisions

  • Entire Agreement: This EULA, together with Policy AED 986 and License AED 900, constitutes the entire agreement between you and Ionity regarding the Product
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect
  • Waiver: Failure to enforce any right under this EULA does not constitute a waiver of that right
  • Amendment: Ionity reserves the right to update this EULA at any time; continued use constitutes acceptance
  • Assignment: You may not assign this EULA without Ionity's prior written consent. Ionity may assign freely
